AGREEMENT BETWEEN USER AND INSTALLED PARTS GROUP, LLC

The INSTALLED PARTS GROUP Web Site and Web Portal is comprised of various Web pages operated by INSTALLED PARTS GROUP, LLC and NEXTSTEP COMMERCE, INC.

The INSTALLED PARTS GROUP Web Site and Web Portal is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the INSTALLED PARTS GROUP Web Site and Web Portal constitutes your agreement to all such terms, conditions, and notices.

USAGE DISCLAIMER

By using any of the Web Sites and or Web Portals, you expressly agree that use of the Web Site and or Web Portal is at your sole risk. The Web Site and Web Portal is provided on an "AS IS" and on an "AS AVAILABLE" basis. IPG Auto, IPG RebatesPlace™, IPG Direct Connect, IPG Rewards, any of the Supplier Platforms, and INSTALLED PARTS GROUP, LLC does not warrant that use of the Web Site or Web Portal will be uninterrupted or error-free. IPG Auto, IPG RebatesPlace™, IPG Direct Connect, IPG Rewards, any of the Supplier Platforms, and INSTALLED PARTS GROUP, LLC does not warrant the accuracy, integrity or completeness of the content provided on the Web Site, Web Portal, or Supplier Platforms as to the quality of products or services marketed for sale on the Web Sites, Web Portal or Supplier Platforms through our supply partners. You hereby agree that IPG Auto, IPG RebatesPlace™, IPG Direct Connect, IPG Rewards, any of the Supplier Platforms, and INSTALLED PARTS GROUP, LLC are not responsible for your inability to use the sites, including but not limited to reliance by you on any information obtained from the sites that results in mistakes, omissions, interruptions, deletion or corruption of files, viruses, delays in operation or transmission, or any failure of performance. User hereby acknowledges that this paragraph shall apply to all content, merchandise and services available through the sites. If you have issues with your purchase, please contact the individual supply partner directly. Under no circumstances is IPG Auto, IPG RebatesPlace™, IPG Direct Connect, IPG Rewards, any of the Supplier Platforms, and INSTALLED PARTS GROUP, LLC be responsible or liable for product quality, fit, function, or resolution of disputes between your company and the product/service supply partners marketed through these sites. Under no circumstances shall INSTALLED PARTS GROUP, LLC it's representatives, or technology providers be liable for any direct, indirect, incidental, special or consequential damages that result from your use of or inability to use the website.

If you are dissatisfied with IPG Auto, IPG RebatesPlace™, IPG Direct Connect, IPG Rewards, any Supplier Platform, INSTALLED PARTS GROUP, LLC any of the sites, services, terms of use, privacy statement, or ordering policy, you agree that your sole and exclusive remedy is to discontinue using the IPG Auto, IPG RebatesPlace™, IPG Direct Connect, IPG Rewards, or any the IPG sites.

USAGE TERMS

Under no circumstances will INSTALLED PARTS GROUP, LLC and any of the employees, directors, officers, agents, vendors or suppliers be liable for any direct or indirect losses or damages arising out of or in connection with the use or inability to use the IPG services Web Sites or Web Portals including but not limited to reliance by you on any information obtained from the Web sites or Web Portals that results in mistakes, omissions, interruptions, deletion or corruption of files, viruses, delays in operation or transmission, or any failure of performance. IPG members and IPG RebatesPlace™ Members agree to the usage terms and conditions set forth below:

INSTALLED PARTS GROUP, LLC has the right to cancel all services at any time for any reason.
All sales data and reward point data is provided by INSTALLED PARTS GROUP, LLC approved supply partners.
IPG Auto, IPG RebatesPlace™, IPG Direct Connect, IPG Rewards, any of the Supplier Platforms, and INSTALLED PARTS GROUP, LLC and any approved Suppliers are not liable for the accuracy of the data.
All rebates are paid and rewards are awarded based on the data provided by approved suppliers.
INSTALLED PARTS GROUP, LLC is not be liable for any un-paid rebates or reward points that an approved supply partner does not pay, or support in any way.
Any disputes will be between the shop and the approved supply partner. INSTALLED PARTS GROUP, LLC pays rebates and deposits rewards only after approved supply partner has paid.

USAGE AGE RESTRICTIONS

The Web Site and or Web Portal is for the exclusive use of IPG, IPG RebatesPlace™ member companies and their employees of 18 years of age or older. Users under the age of 18 are not permitted to make product purchases on the website.

USE OF COMMUNICATION SERVICES

The INSTALLED PARTS GROUP, LLC Web Site and Web Portal may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, "Communication Services"), you agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service. By way of example, and not as a limitation, you agree that when using a Communication Service, you will not:

Defame abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
Publish post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information.
Upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents.
Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer.
Advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages.
Conduct or forward surveys, contests, pyramid schemes or chain letters.
Download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner.
Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.
Restrict or inhibit any other user from using and enjoying the Communication Services.
Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.
Harvest or otherwise collect information about others, including e-mail addresses, without their consent.
Violate any applicable laws or regulations.

INSTALLED PARTS GROUP, LLC has no obligation to monitor the Communication Services. However, INSTALLED PARTS GROUP, LLC reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. INSTALLED PARTS GROUP, LLC reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

INSTALLED PARTS GROUP, LLC reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in INSTALLED PARTS GROUP, LLC's sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. INSTALLED PARTS GROUP, LLC does not control or endorse the content, messages or information found in any Communication Service and, therefore, INSTALLED PARTS GROUP, LLC specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized INSTALLED PARTS GROUP, LLC spokespersons, and their views do not necessarily reflect those of INSTALLED PARTS GROUP, LLC.

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you download the materials.

USAGE TERMINATION

INSTALLED PARTS GROUP, LLC and IPG RebatesPlace™ may, in its sole discretion, terminate your account or your use of the services and websites at any time. You are personally liable for any orders that you place or charges that you incur prior to termination. INSTALLED PARTS GROUP, LLC and RebatesPlace™ reserves the right to change, suspend, or discontinue all or any aspects of service and websites at any time without prior notice.

AGENT FOR COLLECTION DISCLAIMER

INSTALLED PARTS GROUP, LLC, IPG RebatesPlace™, and NEXTSTEP COMMERCE, INC. serve as an agent for collection of rebate monies earned through qualified purchases of supply partner goods and services marketed through the Web Sites Web Portal and Supplier Platforms. INSTALLED PARTS GROUP, LLC, IPG RebatesPlace™, and NEXTSTEP COMMERCE, INC. will make its best efforts to collect monies owed to participating members on qualified purchases (see each supply partner's program profile for specific purchase qualification requirements), and to disburse these monies to you on a quarterly basis. INSTALLED PARTS GROUP, LLC, IPG RebatesPlace™, and NEXTSTEP COMMERCE, INC. does not guarantee any rebate monies or other monetary incentives, which have not been paid to INSTALLED PARTS GROUP, LLC, IPG RebatesPlace™, or NEXTSTEP COMMERCE, INC. by the supply partner or third-party programs broker.

By using the website, you expressly agree that INSTALLED PARTS GROUP, LLC, IPG RebatesPlace™, and NEXTSTEP COMMERCE, INC. shall not be held liable for failure to collect rebate monies, fees, or other incentives owed by supply partners to your company.

SUPPLY PARTNER PROGRAM ERRORS, OMMISIONS, UPDATES DISCLAIMER

INSTALLED PARTS GROUP, LLC and IPG RebatesPlace™ cannot be held responsible for errors, omissions, modifications, or updates to supply partner programs and promotions. However, INSTALLED PARTS GROUP, LLC and IPG RebatesPlace™ will make its best effort to keep supply partner programs up-to-date and to display rebate program information as accurately as possible.

REBATE EXCLUSIONS & FORFEITURE

It is the buyer's SOLE RESPONSIBILITY to fully read the INSTALLED PARTS GROUP, LLC and IPG RebatesPlace™ PROGRAM profile webpage for each SUPPLY PARTNER, prior to placing an order through the Web Site, Web Portal and or Supplier Platform. The PROGRAMS webpage describes in the detail the rebate incentive program offered, terms & conditions, and any exclusions to earning a rebate or other incentive on your order. For example, failure to pay an invoice within payment terms (for certain supply partners) may result in forfeiture of your rebate amounts earned for the reporting period.

Additionally, ordering outside of the INSTALLED PARTS GROUP, LLC and IPG RebatesPlace™ Web Site, Web Portal or Supplier Platform for Mall Supply Partners (I.e. going directly to the supply partners website to place an order in lieu of the INSTALLED PARTS GROUP, LLC, IPG RebatesPlace™, IPG Hard To Find Parts Web Site) will result in forfeiture of your INSTALLED PARTS GROUP, LLC rebate or incentive published on the website for IPG Mall Supply Partners and IPG Hard To Find Parts Only. IPG Mall Supply Partners and IPG Hard To Find Parts Partners do not pay rebates on store walk-in orders. However, IPG Major Account Supply Partners will honor rebates, awards for store walk-in, fax, phone, or online orders. If it is billed to the account number that the supplier has registered with Installed Parts Group, LLC. (Should be your account number with the supporting supplier)

NOTE1: Certain supply partners may exclude specific product or service categories entirely from earning a rebate or rewards. (I.e. No rebate earned on freon products).

NOTE2: Certain supply partners may not offer a rebate incentive at all, but will generally offer some other kind of incentive such as: better pricing, free shipping, instantly save $10 on orders over $50, free add-on accessory, etc.

Remember to read the supply partner's PROGRAM webpage very carefully before ordering and take special note of promotional expiration dates, when applicable.

REBATE DISCREPANCIES

If you are not satisfied or disagree with your rebate totals or rewards totals, please contact INSTALLED PARTS GROUP, LLC directly. Under no circumstances is INSTALLED PARTS GROUP, LLC, IPG RebatesPlace™, and NEXTSTEP COMMERCE, INC. responsible or liable for product quality, fit, function, or resolution of disputes between your company and the supply partner.

UNTRACEABLE OR UNIDENTIFED BUYER REBATE EARNINGS

In the event of untraceable or unclaimed buyer rebate earnings for a period of 12-months or greater form the order date, buyer agrees that INSTALLED PARTS GROUP, LLC , IPG RebatesPlace™ may invest the amount into adding enhanced website features & functionality for the benefit of all members. Buyer shall have no further claim to these monies.

REBATESPLACE COMPENSATION

Buyer expressly agrees by using the INSTALLED PARTS GROUP, LLC web site and or the IPG RebatesPlace™ site, INSTALLED PARTS GROUP, LLC and NEXTSTEP COMMERCE, INC. will retain a percentage of the total rebate amount, incentive, and/or a marketing fee collected from supply partners as compensation for operating the website and providing marketing services. The rebate percentages specified within the site are the net published percentage or amount to be paid to you by INSTALLED PARTS GROUP, LLC.

APPLICABLE TAXES

Buyer is solely responsible for paying any and all applicable federal, state, or local taxes on rebate monies and other incentives earned through the INSTALLED PARTS GROUP, LLC web site and IPG RebatesPlace™ web site on any rebates received from INSTALLED PARTS GROUP, LLC. INSTALLED PARTS GROUP, LLC and NEXTSTEP COMMERCE, INC. are only responsible for paying applicable taxes on rebate monies retained as earnings.

ORDER RELATED INQUIRIES

By using the INSTALLED PARTS GROUP, LLC, and or the IPG RebatesPlace™, web site you agree that all supply partner issues related to but not limited to: product inquiries, orders, delivery, and all billing questions should be addressed directly to the supply partner. However, issues related to a supply partner that is underperforming should be addressed immediately by calling the IPG RebatesPlace Helpdesk at (703) 669-4202.

CONFIDENTIAL INFORMATION

The INSTALLED PARTS GROUP, LLC web site and IPG RebatesPlace.com website is for the exclusive use of IPG member companies and is not available to the public. All product pricing, rebates, terms, and conditions are considered proprietary information and shall not be disclosed outside of your company for any reason whatsoever. INSTALLED PARTS GROUP, LLC or IPG RebatesPlace™ may, in its sole discretion, terminate your account if it is found that you individually or your company has shared supplier program confidential information with an outside party.

MODIFICATION OF THESE TERMS OF USE

INSTALLED PARTS GROUP, LLC reserves the right to change the terms, conditions, and notices under which the INSTALLED PARTS GROUP, LLC Web Site and Web Portal is offered, including but not limited to the charges associated with the use of the INSTALLED PARTS GROUP, LLC Web Site and Web Portal.

LINKS TO THIRD PARTY SITES

The INSTALLED PARTS GROUP, LLC Web Site and Web Portal may contain links to other Web Site and Web Portals ("Linked Sites"). The Linked Sites are not under the control of INSTALLED PARTS GROUP, LLC and INSTALLED PARTS GROUP, LLC is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. INSTALLED PARTS GROUP, LLC is not responsible for webcasting or any other form of transmission received from any Linked Site. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INSTALLED PARTS GROUP, LLC AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE INSTALLED PARTS GROUP, LLC WEB SITE AND WEB PORTAL, WITH THE DELAY OR INABILITY TO USE THE INSTALLED PARTS GROUP, LLC WEB SITE AND WEB PORTAL OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE INSTALLED PARTS GROUP, LLC WEB SITE AND WEB PORTAL, OR OTHERWISE ARISING OUT OF THE USE OF THE INSTALLED PARTS GROUP, LLC WEB SITE AND WEB PORTAL, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF INSTALLED PARTS GROUP, LLC OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE INSTALLED PARTS GROUP, LLC WEB SITE AND WEB PORTAL, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE INSTALLED PARTS GROUP, LLC WEB SITE AND WEB PORTAL.

TERMINATION/ACCESS RESTRICTION

INSTALLED PARTS GROUP, LLC reserves the right, in its sole discretion, to terminate your access to the INSTALLED PARTS GROUP, LLC Web Site and Web Portal and the related services or any portion thereof at any time, without notice. GENERAL To the maximum extent permitted by law, this agreement is governed by the laws of the State of Georgia, U.S.A. and you hereby consent to the exclusive jurisdiction and venue of courts in Walker County, Georgia, U.S.A. in all disputes arising out of or relating to the use of the INSTALLED PARTS GROUP, LLC Web Site and Web Portal. Use of the INSTALLED PARTS GROUP, LLC Web Site and Web Portal is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and INSTALLED PARTS GROUP, LLC as a result of this agreement or use of the INSTALLED PARTS GROUP, LLC Web Site and Web Portal. INSTALLED PARTS GROUP, LLC's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of INSTALLED PARTS GROUP, LLC's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the INSTALLED PARTS GROUP, LLC Web Site and Web Portal or information provided to or gathered by INSTALLED PARTS GROUP, LLC with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and INSTALLED PARTS GROUP, LLC with respect to the INSTALLED PARTS GROUP, LLC Web Site and Web Portal and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and INSTALLED PARTS GROUP, LLC with respect to the INSTALLED PARTS GROUP, LLC Web Site and Web Portal. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be drawn up in English.

COPYRIGHT AND TRADEMARK NOTICES

The names of actual companies and products mentioned herein may be the trademarks of their respective owners.

The example companies, organizations, products, people and events depicted herein are fictitious. No association with any real company, organization, product, person, or event is intended or should be inferred.

Any rights not expressly granted herein are reserved.

NOTICES AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT

Pursuant to Title 17, United States Code, Section 512(c) (2), notifications of claimed copyright infringement under United States copyright law should be sent to Service Provider's Designated Agent.
